Terms of Service
Effective July 24, 2026
These Terms of Service (“Terms”) govern access to and use of Proctorly, an online educational exam-monitoring and academic-integrity support platform operated by SchoolToolz (“SchoolToolz,” “Proctorly,” “we,” “our,” or “us”).
By creating an account or otherwise using Proctorly as a teacher, school, administrator, tutor, homeschool parent, or other authorized account holder, you agree to these Terms.
Students who participate in an exam through Proctorly are asked to agree to the Student Monitoring Notice and Privacy Policy as part of the exam-entry flow; these Terms do not require a separate acceptance by students.
If you use Proctorly on behalf of a school, district, institution, tutoring company, homeschool organization, or other entity, you represent that you have authority to bind that entity to these Terms or that you are using Proctorly only within the authority granted to you.
If you do not agree to these Terms, do not use Proctorly.
1. What Proctorly Does
Proctorly helps educators and educational organizations create, administer, monitor, and review remote exam sessions.
Depending on selected settings, Proctorly may support:
- digital exam setup;
- student exam access;
- webcam and microphone permission flows;
- screen-sharing permission flows;
- webcam snapshots;
- screen snapshots;
- ID photo capture for manual review;
- short screen-share and audio clips around flagged events;
- tab-switch detection;
- fullscreen-loss detection;
- screen-share interruption detection;
- face-presence or face-count detection;
- integrity flags;
- AI-generated advisory integrity reports;
- teacher review dashboards.
Proctorly is an educational integrity support tool. Proctorly does not make final academic, disciplinary, grading, cheating, identity, or misconduct decisions.
2. Educational Use Only
Proctorly is intended for educational use only.
Unless Proctorly provides separate written terms for another use case, you may not use Proctorly for:
- employment hiring or employment screening;
- workplace monitoring;
- law enforcement;
- immigration screening;
- healthcare eligibility;
- government benefits eligibility;
- tenant screening;
- credit, lending, insurance, or financial eligibility;
- surveillance outside an authorized educational exam;
- any non-educational monitoring purpose.
Test preparation, tutoring, homeschool, school, district, private school, online school, college, university, and educational certification-preparation uses may be permitted if all required notices, consents, accommodations, and authorizations are in place.
3. Account Eligibility and Authority
Proctorly may be used by educators, schools, administrators, tutoring companies, homeschool parents or guardians, and other authorized educational users.
By creating an account or using Proctorly, you represent and warrant that:
- the information you provide is accurate;
- you will keep your account credentials secure;
- you will use Proctorly only for lawful educational purposes;
- you have authority to administer or monitor the exams you create;
- you have authority to invite the students you invite;
- you will provide or coordinate all required notices and consents;
- you will comply with applicable school policies, privacy laws, child privacy laws, accessibility laws, student privacy laws, and academic procedures;
- you will not use Proctorly with students under 13 unless a valid school, parent, guardian, homeschool, or other legally appropriate consent path is in place.
Individual teacher signup does not automatically authorize use of Proctorly with students under 13.
4. Students and Exam Participants
Students generally access Proctorly through exam links. Students do not need persistent Proctorly accounts to participate in an exam.
Students may be required to provide their name, email address, webcam permission, screen-sharing permission, and other setup information before an exam begins.
A student may be unable to continue an exam if required monitoring permissions are not granted. Educators and institutions are responsible for providing lawful alternatives, accommodations, or alternate exam procedures where required.
5. Students Under 13
Proctorly may be used with students under 13 only when a legally appropriate authorization path exists.
That path may include:
- school or district authorization for educational use;
- parent or guardian consent;
- homeschool parent or legal guardian authorization;
- another legally valid consent or authorization method.
If you are an individual teacher, tutor, or educational provider using Proctorly with students under 13, you must ensure that the school, district, parent, guardian, or other legally authorized person has approved the use of Proctorly before the student uses the service.
You may not use Proctorly to avoid, bypass, or replace legally required parental notices, school approvals, or student privacy obligations.
6. School and Institutional Responsibilities
Schools, institutions, and educators are responsible for:
- determining whether Proctorly is appropriate for their students;
- providing advance notice to students, parents, and guardians where required or appropriate;
- obtaining or coordinating required consents;
- determining whether under-13 students may use Proctorly;
- determining whether Proctorly is appropriate for students with disabilities or accommodation needs;
- providing alternate testing arrangements where required;
- reviewing flags, snapshots, clips, and reports before taking action;
- applying their own academic integrity policies;
- giving students any review, appeal, or explanation opportunity required by school policy or law;
- complying with FERPA, COPPA, California student privacy laws, state student privacy laws, disability laws, and other applicable obligations.
Where Proctorly is used by a school or institution subject to FERPA, Proctorly is intended to operate as a school service provider or school official under the school’s direction and control, subject to any applicable written agreement.
7. Student Monitoring Features
You acknowledge that Proctorly may use monitoring features during student exam sessions, including:
- webcam and microphone access;
- screen-sharing access;
- webcam snapshots;
- screen snapshots;
- ID photo capture for manual review;
- short screen-share and audio clips around flagged events;
- tab-switch detection;
- fullscreen-loss detection;
- screen-share interruption detection;
- face-presence or face-count detection;
- automated flagging;
- AI-generated advisory reports.
You must not use Proctorly to monitor students outside authorized exams.
You must not publish, share, download, display, or distribute student images, snapshots, screen captures, clips, or reports except as authorized by your school, institution, applicable law, and these Terms.
8. No Facial Recognition or Biometric Identification
Proctorly does not:
- identify students using facial recognition;
- compare a student’s face to an enrollment image;
- create faceprints;
- create facial templates;
- create face embeddings;
- create persistent biometric identifiers;
- infer age, gender, race, emotion, stress, attention, gaze, or demeanor;
- automatically verify identity through facial matching.
Proctorly may allow an educator to manually review an ID photo or setup image. Any manual review is performed by the educator or institution, not by automated facial recognition.
You may not use Proctorly data to create biometric identifiers, biometric profiles, sensitive-trait inferences, or unauthorized profiles about students.
9. AI Integrity Reports and Flags
Proctorly may generate automated flags and AI-assisted integrity reports.
All flags and reports are advisory only.
You agree that:
- a flag does not prove cheating;
- a flag does not prove misconduct;
- a flag does not prove identity fraud;
- the absence of a flag does not prove compliance;
- AI reports may be incomplete, inaccurate, or misleading;
- monitoring may fail or miss events;
- Proctorly does not discipline students;
- Proctorly does not fail students;
- Proctorly does not assign grades;
- Proctorly does not make final academic decisions.
Before taking any academic, disciplinary, grading, or misconduct action, you must independently review the relevant context, including available snapshots, clips, timestamps, student explanations, school policy, and any required appeal or review process.
10. Acceptable Use Rules
You may not:
- use Proctorly for unlawful purposes;
- monitor students outside authorized exams;
- use Proctorly for non-educational surveillance;
- use Proctorly to harass, embarrass, shame, or intimidate students;
- publish or share student snapshots, clips, ID photos, reports, or personal information without authorization;
- use Proctorly without required school, parent, guardian, or student authorization;
- use Proctorly with under-13 students without a legally appropriate authorization path;
- use Proctorly for employment hiring;
- use Proctorly for law enforcement, immigration, healthcare, financial, housing, or government-benefit decisions;
- attempt to reverse engineer, disrupt, scrape, overload, or interfere with Proctorly;
- bypass security or access controls;
- access data belonging to another educator, school, or user;
- upload unlawful, discriminatory, defamatory, abusive, or infringing content;
- use Proctorly to make automatic discipline decisions without human review;
- use Proctorly in a way that violates student privacy, child privacy, school policy, or applicable law.
We may suspend or terminate accounts that violate these rules.
11. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You must promptly notify us if you believe your account has been compromised or used without authorization.
We may suspend access where we believe an account presents a security, privacy, legal, or misuse risk.
12. Exam Content and User Content
You retain ownership of exam content, instructions, files, prompts, questions, materials, and other content you submit to Proctorly, subject to any rights held by your school, institution, employer, or third parties.
You grant Proctorly a limited license to host, store, copy, process, transmit, display, and use your content as needed to provide, secure, support, and improve Proctorly, comply with law, and enforce these Terms. Student data is not included in general product-improvement use and is used only as described in the Privacy Policy and any applicable school agreement.
You represent that you have the rights necessary to upload and use any content you provide through Proctorly.
13. Student Data
Student data is handled as described in the Privacy Policy and any applicable school agreement, data protection addendum, FERPA addendum, COPPA addendum, or student data terms.
Proctorly does not sell student data, use student data for targeted advertising, or build commercial profiles about students.
You may not export, download, disclose, or use student data except for authorized educational purposes and in compliance with applicable law and policy.
14. Third-Party Services
Proctorly relies on third-party services for hosting, storage, authentication, payment processing, email, analytics, error monitoring, and AI features.
These services may include Supabase, Cloudflare R2, Stripe, Resend, Sentry, OpenRouter, MediaPipe or Google-hosted resources, Vercel, PostHog, Vercel Analytics, and other service providers.
Your use of Proctorly may also be subject to third-party terms and policies. We are not responsible for third-party services except as required by applicable law or written agreement.
15. Subscriptions, Billing, and Payment
Proctorly may offer Free, Classroom, School, and other plans.
Paid plan prices, features, billing intervals, and limits are shown at checkout, on the pricing page, in an order form, or in a separate written agreement.
Paid plans may be offered monthly, quarterly, annually, or on another billing schedule. By subscribing to a paid plan, you authorize Proctorly and its payment processor to charge applicable fees and taxes on a recurring basis until cancellation.
Payments are processed through Stripe or another authorized payment provider.
16. Free Trials
Proctorly may offer free trials. Trial terms, duration, features, and conversion terms will be shown at signup, checkout, or in the applicable offer.
Unless stated otherwise, when a free trial converts to a paid subscription, you authorize us to charge the payment method on file at the end of the trial.
17. Auto-Renewal and Cancellation
Paid subscriptions automatically renew unless cancelled before the renewal date.
For self-serve subscriptions, cancellation is handled through the Stripe Customer Portal or other cancellation method we provide.
Unless stated otherwise, cancellation takes effect at the end of the current billing period. You will generally retain access to paid features until the end of the paid term.
Deleting an account, stopping use of Proctorly, or failing to use the service does not automatically cancel a paid subscription unless the subscription is cancelled through the required cancellation method.
18. Refunds
Refunds are not automatic.
Refund requests are evaluated case by case. We may consider factors such as billing error, duplicate charge, service issue, account status, use of the service, and timing of the request.
School plans, invoiced plans, annual plans, and custom agreements may have separate refund or cancellation terms.
19. Taxes
Fees may not include taxes. You are responsible for applicable taxes, duties, levies, or similar governmental assessments unless a written agreement says otherwise.
20. Beta and Early Access Features
Proctorly may be offered as a beta, pilot, preview, early access, or experimental service.
Beta features may be incomplete, unstable, unavailable, inaccurate, or changed without notice. Monitoring may fail. AI reports may be wrong. Features may be removed or modified. Data may be deleted at the end of a beta or pilot, subject to applicable law, the Privacy Policy, and any school or institutional agreement.
Do not rely on beta features for high-stakes use unless your institution has reviewed and approved that risk.
21. Service Availability
We aim to provide a reliable service, but we do not guarantee that Proctorly will be uninterrupted, error-free, secure, or available at all times.
We may suspend, limit, update, modify, or discontinue features as needed for security, maintenance, legal compliance, product improvement, or business reasons.
22. Disclaimers
To the maximum extent permitted by law, Proctorly is provided “as is” and “as available.”
We do not warrant that:
- Proctorly will detect all misconduct;
- Proctorly will prevent cheating;
- Proctorly will correctly identify all integrity concerns;
- AI reports will be accurate;
- monitoring will work on every device or browser;
- Proctorly will be uninterrupted or error-free;
- Proctorly will satisfy every school policy, accreditation requirement, accessibility requirement, or legal requirement.
You are responsible for determining whether Proctorly is appropriate for your educational context.
23. Limitation of Liability
To the maximum extent permitted by law, Proctorly and SchoolToolz will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.
To the maximum extent permitted by law, our total liability for claims relating to Proctorly will not exceed the amounts paid by you to Proctorly in the three months before the event giving rise to the claim, or one hundred dollars if no amounts were paid.
Some jurisdictions do not allow certain limitations of liability, so some limits may not apply.
This section does not limit liability where limitation is prohibited by law.
24. Indemnity
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Proctorly, SchoolToolz, and their owners, operators, contractors, service providers, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from:
- your use or misuse of Proctorly;
- your violation of these Terms;
- your violation of law or school policy;
- your failure to obtain required notices, consents, or authorizations;
- your unauthorized use of Proctorly with students under 13;
- your academic, disciplinary, grading, or misconduct decisions;
- your uploaded content;
- your unauthorized disclosure of student information;
- your use of Proctorly outside permitted educational purposes.
This indemnity does not apply where prohibited by law.
25. Suspension and Termination
We may suspend or terminate access to Proctorly if:
- you violate these Terms;
- you create security, privacy, legal, or operational risk;
- you use Proctorly without required authorization;
- you fail to pay required fees;
- we believe continued access may harm students, schools, users, Proctorly, or third parties;
- we discontinue a beta, pilot, feature, plan, or service.
You may stop using Proctorly at any time, subject to any subscription, cancellation, payment, or school agreement terms.
26. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice as required by law or applicable agreement.
Your continued use of Proctorly after updated Terms become effective means you accept the updated Terms.
27. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, unless a written school or institutional agreement provides otherwise or applicable law requires otherwise.
Any dispute arising from these Terms will be brought in the state or federal courts located in Durham County, North Carolina. Each party consents to the exclusive jurisdiction of those courts. Before filing a claim, the parties will attempt in good faith to resolve the dispute informally.
