Subscription, Cancellation & Refund Policy

1. Plans

Proctorly may offer Free, Classroom, School, and other plans.

Plan features, prices, limits, billing intervals, and included usage may be shown on the pricing page, in the product, at checkout, in an order form, or in a separate written agreement.

If there is a conflict between this Policy and a signed school order form or master services agreement, the signed agreement controls for that school customer to the extent stated in the agreement.


2. Free Plan

The Free plan may include limited features, usage limits, beta features, or restrictions.

Proctorly may modify, suspend, limit, or discontinue the Free plan at any time, subject to applicable law and any written agreement.

Use of the Free plan remains subject to all student privacy, acceptable use, school authorization, and monitoring rules.


3. Paid Plans

Paid plans may include Classroom, School, or other paid tiers.

Paid plans may be offered on a monthly, quarterly, annual, or custom billing basis.

The price shown at checkout, on the pricing page, in the Stripe checkout flow, in an order form, or in a written agreement controls the applicable fee.


4. School Plan

The School plan may be contract-based, invoice-based, or subject to a separate order form or school services agreement.

School plan terms may include:

  1. custom pricing;
  2. authorized user limits;
  3. usage limits;
  4. invoice payment terms;
  5. renewal terms;
  6. data protection terms;
  7. school procurement requirements;
  8. security exhibits;
  9. support commitments;
  10. cancellation or non-renewal terms.

Custom enterprise pricing, discounts, and negotiated terms are confidential between Proctorly and that customer and will not be disclosed to other customers or published.


5. Free Trials

Proctorly may offer free trials.

Trial length, included features, conversion terms, and pricing will be stated at signup, checkout, or in the applicable offer.

If a free trial requires a payment method and automatically converts to a paid subscription, Proctorly should clearly disclose:

  1. trial length;
  2. renewal date;
  3. amount to be charged;
  4. billing interval;
  5. how to cancel before being charged;
  6. whether the subscription renews automatically.

6. Automatic Renewal

Paid subscriptions automatically renew unless cancelled before the renewal date.

Before a customer starts a paid subscription or completes checkout, Proctorly must clearly disclose:

  1. that the subscription renews automatically;
  2. the initial billing term;
  3. the renewal billing term;
  4. the price;
  5. any terms that change at renewal;
  6. how to cancel;
  7. whether cancellation takes effect immediately or at the end of the billing period.

These disclosures are required before redirecting a customer to Stripe Checkout or any other payment flow.

For annual or longer subscriptions, Proctorly should provide renewal reminders where required by applicable law or agreement.


7. Billing Authorization

By purchasing a paid plan, the account holder authorizes Proctorly and its payment processor to charge the payment method on file for applicable fees, taxes, and renewal charges until the subscription is cancelled.

The account holder is responsible for keeping billing information accurate and current.


8. Payment Processor

Payments are processed by Stripe or another authorized payment processor.

Proctorly does not store full payment card numbers on Proctorly infrastructure.

Payment processing may be subject to the payment processor’s terms, privacy policy, and security practices.


9. Cancellation

Self-serve paid subscriptions may be cancelled through the Stripe Customer Portal or another cancellation method Proctorly provides.

Unless stated otherwise:

  1. cancellation takes effect at the end of the current billing period;
  2. the account generally retains paid access until the end of the paid term;
  3. cancelling a subscription does not automatically delete account or student data;
  4. stopping use of Proctorly does not cancel a subscription;
  5. deleting an account does not automatically cancel a paid subscription unless Proctorly specifically confirms cancellation;
  6. unpaid invoices may remain due.

For school, invoice, or contract-based plans, cancellation and non-renewal are governed by the applicable order form or written agreement.


10. Downgrades

If an account downgrades from a paid plan to a lower-tier or Free plan, the downgrade generally takes effect at the end of the current billing period unless Proctorly states otherwise.

Downgrading may reduce access to features, storage, usage limits, reports, exports, or other paid functionality.

Before downgrading, schools and educators should export or preserve any records they need, subject to student privacy rules and school policy.


11. Upgrades

If an account upgrades to a higher-tier plan, Proctorly may charge the new plan price immediately, at the next billing cycle, or on a prorated basis depending on checkout settings and the applicable offer.

Upgrade terms should be displayed at checkout or in the applicable order form.


12. Failed Payments

If a payment fails, Proctorly may:

  1. retry the payment through Stripe or another payment processor;
  2. notify the account holder;
  3. provide a 14-day grace period before suspending paid features;
  4. suspend paid features;
  5. downgrade the account;
  6. terminate access;
  7. collect unpaid amounts;
  8. delete or archive data according to the retention policy and applicable law.

13. Refunds

Refunds are not automatic.

Proctorly evaluates refund requests case by case.

Proctorly may consider:

  1. duplicate charges;
  2. billing errors;
  3. accidental renewals;
  4. service outages;
  5. inability to access paid features;
  6. whether the account used the service;
  7. timing of the request;
  8. school contract terms;
  9. applicable law;
  10. payment processor limitations.

Unless required by law or a separate written agreement, Proctorly does not guarantee refunds for:

  1. unused time;
  2. partial billing periods;
  3. failure to cancel before renewal;
  4. dissatisfaction after substantial use;
  5. student non-use;
  6. teacher or school scheduling changes;
  7. device, browser, network, or permission issues outside Proctorly’s control.

School, annual, invoice-based, and custom plans may have separate refund terms.


14. Taxes

Fees may not include applicable taxes.

The customer is responsible for taxes, duties, levies, or similar governmental charges unless a written agreement states otherwise.

If Proctorly is required to collect taxes, those taxes may be added to the amount charged.


15. Price and Plan Changes

Proctorly may change plan features, prices, limits, or billing terms from time to time.

For existing paid subscriptions, Proctorly should provide advance notice of material price changes where required by law, checkout terms, or agreement.

If a customer does not agree to a price change, the customer should cancel before the change takes effect.


16. Beta, Pilot, and Early Access Billing

Beta, pilot, or early access pricing may be free, discounted, limited, experimental, or subject to special terms.

Proctorly may change or end beta pricing, pilot access, or early access offers, subject to any written agreement.

Student privacy, acceptable use, authorization, monitoring, and consent requirements apply even during beta or free use.


17. Chargebacks and Payment Disputes

If a customer believes a charge is incorrect, the customer should contact Proctorly before initiating a chargeback where possible.

Proctorly may suspend or limit accounts involved in unresolved payment disputes, suspected fraud, unauthorized payment use, or repeated chargebacks.


18. No Waiver of Student Privacy Duties

Payment status does not override student privacy obligations.

Even if an account is unpaid, suspended, cancelled, downgraded, or terminated, Proctorly and the account holder must continue to handle student information according to the Privacy Policy, Data Retention and Deletion Policy, school agreements, and applicable law.
